Subcontractor Agreement

This is a much longer and more detailed contract than the one we normally use.  We are posting it here to give you another example of common contract terms and elements.

Invoice Example

This is the invoice template Red Line Consulting gives to subcontractors when they are hired if they don't have another format they prefer.  We offer it as an example for anyone who is putting together their first invoice.  By the way, if you are invoicing a client for the first time...Congratulations!!! 

 

Non-disclosure Agreement

In most cases, your client will have a Non-Disclosure Agreement (NDA) prepared that they
require you to sign before you start work on their project. If you are working with a small
company, you may be asked to provide the agreement yourself. The NDA simply states that
you will not disclose anything you learn about their business to any outside parties.

Statement of Work

A separate Statement of Work (SOW) is written for each project or engagement with the client.
It is governed by the terms and conditions of the CSA, and only contains a description of the
specific work to be performed, dates or milestones for the work, payment terms, and the name
of the person(s) who will perform the work.

Consulting Services Agreement

This contract is used as an umbrella for all engagements with a particular client. It lays out the
broad legal relationship between you and the client and contains all of the terms and conditions
that apply to every engagement. This agreement generally requires review and approval from
the Legal Department, which takes time, so it’s helpful to only have to negotiate these terms
once.
